Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you and MAESON Technologies LLC ("MAESON Technologies," "we," "us," or "our") and govern your access to and use of our software, platforms, APIs, tools, documentation, and websites (collectively, the "Service").

Accessing or using the Service means you accept these Terms in full. We also encourage you to review our Privacy Policy, which describes how we handle personal data in connection with the Service.

If you are using the Service on behalf of a business, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. Where a separate Master Services Agreement exists between your organization and MAESON Technologies, that agreement takes precedence over these Terms.

1. Access and Use

MAESON Technologies offers software, automation tools, artificial intelligence capabilities, development services, consulting, and related technology products and services. When you comply with these Terms, we grant you a limited, non-exclusive right to access and use the Service.

As part of using the Service, you may submit inputs and receive outputs such as code, content, files, recommendations, responses, or other results (collectively, "Content"). Inputs and outputs together constitute Content under these Terms.

We may use Content as necessary to deliver the Service, comply with legal obligations, enforce these Terms, investigate and resolve technical issues, prevent abuse, and maintain the reliability and security of our systems.

MAESON Technologies will not use your Content to train artificial intelligence models, nor will we permit third parties to do so, unless you have separately and explicitly consented to such use.

Output generated by the Service, including recommendations and automated suggestions ("Suggestions"), is produced algorithmically and may include inaccuracies, gaps, or errors. You are solely responsible for reviewing any Suggestions before acting on them.

You may not attempt to reverse engineer, decompile, or extract components of the Service; resell or commercialize the Service without written authorization; remove or obscure proprietary notices; circumvent security features; use the Service to infringe on third-party rights; or violate any applicable law. You may not permit others to do any of the foregoing.

Certain offerings may be made available on a beta, experimental, pilot, limited-release, or early-access basis. Such offerings are provided without warranty and at your sole risk. MAESON Technologies reserves the right to discontinue beta offerings at any time without notice.

Certain features of the Service may execute code, automate workflows, run scripts, trigger integrations, or apply Suggestions on your behalf. You assume full responsibility for any outcomes that result from enabling or using such features.

2. Eligibility

You must have reached the age of majority in your jurisdiction — or be at least 18 years old, whichever threshold is greater — to use the Service.

By accepting these Terms, you confirm that you meet the eligibility requirements above, that you have not been previously suspended or permanently removed from the Service, and that your use of the Service will comply with all applicable laws and regulations.

3. Account Registration and Access

Accessing some features of the Service requires you to register for an account. You agree to provide accurate, complete, and current information during registration and to keep that information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs through your account, whether or not you authorized it.

If you have reason to believe your account credentials have been compromised or your account has been accessed without authorization, you must notify MAESON Technologies promptly at support@maeson.tech.

4. Payment Terms

Some aspects of the Service require payment of fees. You will be presented with applicable fees and given the opportunity to review and confirm them before any charges are made.

All fees are denominated in U.S. dollars unless otherwise specified. Fees are generally non-refundable except as required by applicable law or as expressly set forth in a separate written agreement.

MAESON Technologies may update its pricing at any time with reasonable advance notice provided through the Service interface, email, invoice, or other appropriate channels.

Payment processing is handled by Stripe or another third-party processor. Your payment transactions are subject to that processor's terms of service and privacy policy.

Subscription plans renew on a recurring basis at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize MAESON Technologies to charge your payment method on a recurring basis until you cancel.

Failure to pay applicable fees may result in the suspension or termination of your access to paid features or the Service generally.

5. Ownership and Licenses

MAESON Technologies and its licensors hold all right, title, and interest in and to the Service, including underlying software, technology, designs, workflows, systems, documentation, brand assets, and all related intellectual property rights.

You retain ownership of the inputs you submit to the Service. To the extent MAESON Technologies holds any rights in Suggestions generated specifically in response to your inputs, we hereby assign those rights to you, subject to limitations under applicable law.

If you choose to submit feedback, suggestions, or ideas about the Service, you grant MAESON Technologies a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

MAESON Technologies may collect and analyze aggregated, de-identified usage data generated through your interaction with the Service for internal purposes including security monitoring, product analytics, development, troubleshooting, and service improvement.

6. Third-Party Services

The Service may offer connections to or integration with third-party software, APIs, plug-ins, hosting providers, payment processors, or other external services.

Any use of third-party services is governed by the respective third party's terms and policies. MAESON Technologies has no control over and takes no responsibility for the availability, accuracy, or practices of third-party services.

7. Communications

By using the Service, you agree that MAESON Technologies may contact you via email or other channels regarding account activity, billing, security alerts, support, product updates, and promotional materials.

You may unsubscribe from promotional communications at any time. Opting out of promotional messages will not affect transactional or operational communications related to your account or the Service.

8. Modification of Terms

MAESON Technologies reserves the right to update these Terms at any time. When we make material changes, we will provide notice through one or more of the following: updating the "Last updated" date on this page, sending an email notification, displaying an in-app notice, or through another appropriate method.

Continuing to access or use the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

9. Termination

You may discontinue your use of the Service at any time. MAESON Technologies may suspend, restrict, modify, or terminate your access to the Service — in whole or in part — at any time, for any reason, with or without notice.

Following termination of your account, MAESON Technologies may delete Content and other data associated with your account in accordance with our data retention practices and applicable law.

The following provisions survive any termination of these Terms: restrictions on use, payment obligations incurred prior to termination, ownership and license terms, indemnification, disclaimers of warranties, limitations of liability, dispute resolution, and the miscellaneous section below.

10. Modification of the Service

MAESON Technologies may alter, limit, or discontinue any feature, component, or aspect of the Service at any time, whether temporarily or permanently, without prior notice.

We recommend maintaining your own copies of any Content you submit or generate through the Service, as MAESON Technologies does not guarantee its continued availability.

11. Copyright Complaints

If you believe that content made available through the Service infringes your copyright or other intellectual property rights, please submit a written notice to support@maeson.tech with sufficient detail for us to identify the claimed infringement and respond appropriately.

MAESON Technologies may remove or disable content that we determine in our discretion to be infringing or to otherwise violate these Terms. We may also terminate accounts of users who are found to be repeat infringers.

12. Privacy

Our Privacy Policy governs how MAESON Technologies collects, uses, stores, processes, and discloses personal data in connection with the Service. By using the Service, you acknowledge and agree to our data practices as described in the Privacy Policy.

13. Indemnity

You are responsible for your use of the Service and for any consequences arising from that use, to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless MAESON Technologies and its affiliates, officers, directors, employees, contractors, agents, and representatives from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your misuse of the Service, your breach of these Terms, your violation of any applicable law, or your infringement of any third-party rights.

14. Disclaimer of Warranties

The Service and all Suggestions are made available on an "as is" and "as available" basis, without warranties of any kind.

To the maximum extent permitted by law, MAESON Technologies expressly disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage in trade.

MAESON Technologies does not represent or warrant that the Service will operate without interruption or error, that it will be free of security vulnerabilities or harmful components, or that Suggestions will be accurate, complete, or fit for any particular purpose.

15. Limitation of Liability

To the fullest extent permitted by applicable law, MAESON Technologies and its affiliates, officers, employees, and agents will have no liability for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to these Terms, the Service, or any Content, even if advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising under or related to these Terms will not exceed the greater of: (a) the total fees you paid to MAESON Technologies during the six-month period immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

16. Dispute Resolution

Please read this section carefully. It contains important provisions that affect your legal rights, including how disputes between you and MAESON Technologies will be resolved.

Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively through binding individual arbitration. Both you and MAESON Technologies waive the right to a jury trial and the right to participate in any class, collective, or representative action.

Before initiating arbitration, the party asserting a claim must send the other party a written Notice of Dispute describing the nature of the claim and the relief sought. The parties agree to attempt to resolve the dispute informally for at least 30 days following delivery of the notice.

If informal resolution fails, arbitration will proceed before a neutral arbitrator under the then-current rules of the American Arbitration Association, as modified by these Terms.

17. Miscellaneous

These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and MAESON Technologies with respect to your use of the Service and supersede all prior or contemporaneous agreements on the same subject.

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of MAESON Technologies. MAESON Technologies may freely assign these Terms and any rights granted hereunder.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

Your use of the Service must comply with all applicable export control laws, sanctions programs, and trade regulations. You represent that you are not located in, or acting on behalf of any person or entity located in, a jurisdiction subject to applicable trade restrictions.
